  5. ARTICLES OF ASSOCIATION

  12. To further the purposes set forth herein, the members agree to 
  13. be, and hereby are, organized under these Articles of Association 
  14. as a not for profit service and social club. 
  15.  
  16. ARTICLE I - THE ORGANIZATION 
  17.  
  18. 1.0 Name of Association 
  19.  
  20. The name of this Association shall be:  Commodore 10 User's Group 
  21.  
  22. 2.0 Offices of Association 
  23.  
  24. The principal office of the Association shall be at the home of 
  25. the President of the group.  The Association may have such other 
  26. offices as may from time to time be designated by its members or 
  27. its Executive Board. 
  28.  
  29. 3.0 Purposes 
  30.  
  31. The primary purposes of the Association is to provide a community 
  32. service by: 
  33.  
  34. - improving personal and business computing productivity: 
  35.  
  36. - share technical information and computing techniques: 
  37.  
  38. - educate and encourage newcomers to computing: 
  39.  
  40. - provide social activities for members: 
  41.  
  42. - further the art, science, and enjoyment of personal computing 
  43.  
  44. The activities of the Association shall be held and maintained in 
  45. the spirit of these purposes. 
  46.  
  47. 4.0 Powers 
  48.  
  49. The Association shall have all the powers necessary to provide 
  50. activities to conduct its purposes including, but are not limited 
  51. to, the power to collect, hold and disseminate information 
  52. consistent with its purpose: to conduct seminars and workshops 
  53. associated with computing for the user group, to publish its 
  54. newsletter, own and operate a Bulletin Board System and the power 
  55. to collect dues and disperse funds for the membership.

  58. 5.0 Membership 
  59.  
  60. Any individual interested in personal computing is welcome to be 
  61. a member in the Association as long as said member remains in 
  62. "good standing".  A member is in "good standing" when: - the 
  63. member pays his/her annual membership dues when required. 
  64.  
  65. A member is no longer in "good standing" when: - the member fails
  66. to pay his/her annual membership dues when  required. 
  67.  
  68. - in the judgment of the majority of the members, the member no   
  69. longer supports the best interests of the Association. 
  70.  
  71. If a member so elects, he or she may include within his or her 
  72. membership any or all of the interested parties who reside in his 
  73. or her household.  In the event of such an election by a member, 
  74. said member and all of the interested parties who reside in his 
  75. or her household who he or she has elected to include within his 
  76. or her membership shall be deemed to be one member of the 
  77. Association and entitled to one newsletter.  In addition, 
  78. regardless of the number of such interested parties, any member 
  79. may elect to include within his or her membership, each member of 
  80. the Association shall be entitled to only one vote on each 
  81. Association matter to be decided by a vote of the members.  
  82. Additionally, household memberships are limited to one entry into 
  83. any prize drawing that require membership.  Yet, at any time any 
  84. member of an included household, may become a voting member by 
  85. paying dues appropriate to becoming a member.

  87. Complementary memberships are extended to both students and 
  88. faculty of any bona-fide institution of learning, to include: 
  89.  
  90. Additional complementary memberships may be granted to persons in 
  91. key positions of authority as deemed appropriate by the Executive 
  92. Board, and voted upon by the general membership.

  94.  
  95. 6.0 Dues, Assessments and Fees 
  96.  
  97. The Association's activities shall be funded through the use of 
  98. annual membership dues, assessments, and fees charged to the 
  99. individuals who take part in the Association's various 
  100. activities.  Except for any excess fees refunded as provided 
  101. hereafter, all the funds collected by the Association shall be 
  102. used by it to provide for the various activities permitted by 
  103. these Articles. 
  104.  
  105. The annual membership dues required for membership in the 
  106. Association, and any assessments which may be required of the 
  107. members, shall be established by a majority vote of the members 
  108. of the Association, upon the recommendation of the Executive 
  109. Board.  The annual membership dues for any fiscal year shall be 
  110. established at such an amount per member as will, when multiplied 
  111. by the number of individuals which the Executive Board estimates 
  112. will be members for the fiscal year for which the annual 
  113. membership dues are being established, be sufficient to pay at 
  114. least 80% of the "normal operating costs" which the Executive 
  115. Board estimates will be required to operate the Association for 
  116. the fiscal year for which the annual membership dues are being 
  117. established.  The balance of the "normal operating costs", if 
  118. any, shall be paid from assessments assessed against the 
  119. membership, investment income, and/or surplus funds available 
  120. from prior fiscal years.  The annual membership dues and any 
  121. assessments may be varied from fiscal year to fiscal year, but 
  122. any such dues and/or assessments in effect for any fiscal year 
  123. shall be the same for all individuals. 
  124.  
  125. Fees shall be charged by the Association to pay the costs of any 
  126. of its activities, or parts thereof, which do not fall within the 
  127. meaning of "normal operating costs".  Said fees shall be 
  128. established by the Executive Board at an amount per individual 
  129. per activity, or part thereof, which shall not exceed the amount 
  130. which is reasonably estimated to be necessary to pay the costs of 
  131. said activity, or part thereof, which do not fall within the 
  132. meaning of "normal operating costs".  Should the fees established 
  133. and collected for any activity or part thereof, not be sufficient 
  134. to pay all the costs which do not fall within the meaning of 
  135. "normal operating costs" which are generated by said activity, or 
  136. part thereof, the deficiency shall be paid as a "normal operating 
  137. costs" of the Association.  Should the fees collected from any 
  138. activity, or part thereof, exceed the costs of such activity, or 
  139. part thereof, which do not fall within the meaning of "normal 
  140. operating costs", and should such excess exceed the greater of 
  141. $200 or 20% of said non "normal operating costs" incurred to 
  142. provide said activity, or part thereof, said excess shall be 
  143. refunded pro-rata to the individuals who paid the fees for 
  144. suchactivity, or part thereof.  The fees established for any 
  145. activity, or part thereof, shall be the same for all individuals 
  146. who take part insuch activity, or part thereof, regardless of 
  147. whether they are members of the Association or non-members. 
  148.  
  149. 7.0 Fiscal Year 
  150.  
  151. The Association shall operate with the calender year as its  
  152. fiscal year. 
  153.  
  154. 8.0 Funds Management and Authorities 
  155.  
  156. No individual member has the authority to obligate the 
  157. Association in any way.  In doing so that member becomes 
  158. personally responsible for that obligation and not the 
  159. Association. 
  160.  
  161. Elected Executive Board Members may obligate the Association for 
  162. up to $25 on non-recurring expenses. 
  163.  
  164. The President with the approval of the treasurer may obligate the 
  165. association for up to $100 on non-recurring expenses.  The 
  166. President and Treasurer should monitor all increases in recurring 
  167. expenses. 
  168.  
  169. The Executive Board in simple majority, may obligate the 
  170. Association for up to $200 on non-recurring expenses. 
  171.  
  172. The Membership in simple majority must approve non-recurring 
  173. expenditures in excess of $200. 
  174.  
  175. New recurring expenses must be approved by simple majority of the 
  176. membership.  Increases in existing recurring expenses do not 
  177. require approval of the membership. 
  178.  
  179. These Articles describe the rules by which the Association is to 
  180. be governed.  Any situation concerning the governing of this 
  181. Association which are not specifically described in these 
  182. Articles shall be governed by "Robert's Rules of Order".  In any 
  183. situation in which these Articles conflict with "Robert's Rules 
  184. of Order", these Articles shall prevail.
